DETERMINE IF THE COMPANY IS PUBLICLY OWNED

The first step in researching a company is to determine whether it is public or private. The likelihood of finding financial information on public companies is good. Information on closely-held corporations can be found mostly in directories or periodicals. Private companies do not publish Annual Reports or 10-K's as required from public ones. If the company's name is listed in the following sources, the company is public.

DETERMINE THE CORPORATE RELATIONSHIP

It is important to identify the parent company. Most financial information is found
under the parent company's name. The following sources will help identify the corporate relationship:

BANKRUPTCY

CCH Capital Changes
Covers federal tax consequences of capital changes for more than 58,000 corporations and organizations resulting from stock dividends, stock splits, reorganizations, exchanges, rights and other changes in capital structure in a database that spans over 100 years.

Directory of Obsolete Securities. (Langsam Library Latest Reference (Print) -- link to Library Catalog)
Contains brief profiles of companies whose original identities have been lost. The listing indicates the manner in which the company's identity was lost, the new name of the company, and the year in which the action occurred. In many cases an indication is made to whether the stock is of any value.

Lexis/Nexis Academic

Click on the tab "Business" then "Company Dossier" then in the "select Sources" box click on "Bankruptcy Data Source", then do your search.

BDS contains company profiles, reorganization plans, and other news. These sources cover public companies that are in bankruptcy and regularly track and update records for those companies with assets greater than $50 million.

The D&B Million Dollar Database covers all U.S. public and private companies and also the most significant segment of Canadian companies. The total number of companies in the database are over 14 million.You can search the database using over 30 different criteria. The database gives information on the parent and also the subsidiaries, divisions, branchesand various locations. Most of the time, sales are given by branch or location i.e., you can find the sales of a particular Wendy's restaurant in a particular location.

Dun's Million Dollar Database (Public and Private Companies)
Excellent for identifying "Private" company competitors. Click on "Advanced Search" then search within "industry criteria" and "Location Criteria". You will get a list of local companies within the same industry group. Within that group you can sort by sales to identify competitors.

CORPORATE REPORTS (Annual Reports and SEC Filings)

Core Data U.S. Institutional Database (Click on "Company Profiles" then change the source to "Core Data").
CoreData's US Institutional Database, contains "as-reported" and restated annual and quarterly (interim) financial information, price and volume data, earnings estimates, institutional and insider statistics, and other financial and performance ratios. Historical per share data are split adjusted, including EPS, ratios, and price and volume information on US companies. All financial data are stated in US dollars.

Mergent Online
Very comprehensive financial information including annual reports for U.S. and international companies.  To get the financial data, type the company name, then choose from the upper tabs the financial data that you need.

Moody's Manuals ( 1909-Present)
These are image files of the various manuals such as Banking, Industrial, Transportation, etc... going back to 1909. Each manual provides company information in the following areas: historical background, current activities, divisions and subsidiaries, businesses and properties owned, officers and directors, seven year income statements and balance sheets, financial and operating ratios, summary of each class of stocks and bonds, text of letter to stockholders, and excerpts from annual reports.

Proquest Historical Annual Reports (1884-Present minus 3 years)
Historical Annual Reports is a digital database of company annual reports from 800 of top North American companies. The database comprises over 150 years of reports, providing a rich source of information. All report text is searchable, and special indexing makes key data accessible for analysis and trending.

10-K Reports. (Microfiche 4 (1981-1995 only))
The 10-K report is the official annual business and financial report the company must file with the Securities and Exchange Commission. Our collection includes companies listed on the NYSE from 1981-1995. We also receive 10-K reports for companies on all exchanges within a 100-mile radius from Cincinnati 1981-Present.

SEC Filings on LexisNexis
Lexis/Nexis has 15 years worth of SEC filings for 10-k, 10-Q, 8-K, 20-F, Annual Reports, Proxies, Prospectuses, Resigtration statements, and Williams Act Filings. To access these, click on "Business" then choose "SEC filings and reports".

Thomson One Banker
Thomson One Banker is a financial database that covers US and International Companies and provides profiles, current and historical data including, annual reports, financials (reports and charts), SEC filings (with search capabilities), stock prices, estimates, ownerships,  wall street research, deals, company and peer ratios.

LEGAL PROCEEDINGS AND PENDING LITIGATION

Item 3 of the 10-K Report (See section on Corporate Reports)
Item 3 includes legal proceedings, indictments, subpoenas, complaints, etc.--initiated against the corporation.

Perform a search under the company's name, then select the parent company, then select the tab “Suits and Claims"

Tax Court Reporter reports full text cases of federal and state courts. The reporters also include commission complaints, indictments, and decisions.

LexisNexis(Traditional) is a legal and business database. LexisNexis(Traditional) contains: Full text primary sources, i.e. cases, statutes, and administrative materials and secondary sources, i.e. law reviews, ALR annotations.

Market share information is contained in the industry section of the BCRC. Choose the "Industry Icon" from the front page, then enter your SIC or NAICS code and click on "Search Codes", then click on the tab "Rankings", then click on the sub-tab "Market Share". Data goes back to 1996.

LexisNexis( Traditional) (One CD-ROM Station in Langsam Reference)
Market share information is in the library "Market" and the file "MKTSHR". It includes the "Market Share Reporter" data from 1991 - present, and the "World Market Share Reporter".

The print version of the Market Share Reporter goes back to 1996.

Trade Associations also provide data about the industry they serve. To identify the trade association in an industry try the following: Associations Unlimited then go the web site of that Association and find the industry data that you need.

CCH Capital Changes
Covers federal tax consequences of capital changes for more than 58,000 corporations and organizations resulting from stock dividends, stock splits, reorganizations, exchanges, rights and other changes in capital structure in a database that spans over 100 years.

LexisNexis(Traditional). (Langsam Reference CD-ROM Island--Restricted to business students only)
In its "COMPNY" library, and the file "ALLMA" LexisNexis has mergers and acquisitions data including: M&A database Mergerstat.

Mergent Online
A history of mergers and acquisitions is given in the section "History" under each company. Dates and financial data are included in this section.

This periodical gives a quarterly roster of mergers and acquisitions arranged within two digit SIC numbers. In addition it lists foreign investments transactions and U.S. Investment abroad transactions.

Mergerstat Review (Annual). (Langsam Library Latest Reference (Print) -- link to Library Catalog)
Annual statistical analysis, Industry analysis, Geographical analysis, the year's roster of transactions and cancelled transactions. It also includes historical review.

Thomson One Banker
Includes information on all announced, completed or pending transactions that involve a change of 5% or more in ownership.

ZEPHYR
Web-based database containing data on acquisitions, mergers, demergers, IPOs, planned IPOs, institutional buy-outs, joint ventures, management buy-ins, management buy-outs, minority stakes, share buy backs, private equity, league tables and news stories - no minimum deal value. Also links to detailed company financials. Search and screen variables including company names, industry, time period, geography, deal status, deal type, deal multiples and deal methods. 60,000 deals are added per year. The data goes back to the year 2000.

Search for the Company name, then look for the section on “Products/Operation"

Mergent Horizon
You can also Analyze data for sector aggregates or averages, as well as for individual companies.

Mergent Online
Do a search for a company, then click on "Company Financials", then click on "Segments". The data given covers product and geographic segmentation.

Thomson One Banker
On the left side, click on "Financials", then under "More" mouse over "Worldscope", then choose either "Business Sehgment" or "Geographic Segment".

Standard and Poor's Stock Reports.
The section titled "Business Summary" under each company gives a brief account of percentages in each line of business.

Value Line Research Center
The Value Line includes segment data in the description of business in the "Investment Survey". Logon to the Research Center, then on the left click on "Standard Edition" then select "Survey Issues" or search for the company name.
